IMPORTANT NOTICE: PLEASE READ THESE TERMS CAREFULLY. THEY INCLUDE A BINDING ARBITRATION PROVISION AND CLASS ACTION WAIVER THAT AFFECT YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO GO TO COURT OR PARTICIPATE IN A CLASS ACTION. PLEASE REVIEW THE ARBITRATION SECTION BELOW CAREFULLY.

Thank you for using the Saidwell Platform. The Saidwell Platform is provided and operated by Saidwell LLC (“Saidwell,” “Company,” “we,” “us,” or “our”). Saidwell provides courses, resources and related services designed to help individuals strengthen their communication skills in a variety of personal and professional settings, including at home, in the workplace, and during meaningful or important life moments. Through the Saidwell Platform and services (the “Services”), users may access content intended to support more thoughtful, effective, and constructive communication. The Saidwell Platform and Services are directed to and intended for use by individuals located in the United States. By using the Saidwell Platform or Services, you are agreeing to these Terms of Use (these “Terms”). Please read them carefully. If you do not agree, do not use the Saidwell Platform or Services. Purchases of courses are governed by Saidwell’s separate Terms and Conditions of Purchase.

Using our Platform

You must follow any policies made available to you within the Saidwell Platform. Do not misuse the Saidwell Platform or Services. For example, do not interfere with the Saidwell Platform or try to access it using a method other than the interface and instructions that we provide. You may use the Saidwell Platform and Services only as permitted by law, including applicable export and re-export control laws and regulations. We may suspend or stop providing you access to the Saidwell Platform or Services if you do not comply with these Terms or other applicable policies, or if we are investigating suspected misconduct.

Using the Saidwell Platform or Services does not give you ownership of any intellectual property rights in the Saidwell Platform, Services, or the Content you access. You may not use Content from the Saidwell Platform or Services unless you obtain permission from its owner or are otherwise permitted by law. These Terms do not grant you the right to use any branding or logos used on the Saidwell Platform or in connection with the Services. Do not remove, obscure, or alter any legal notices displayed on the Saidwell Platform or in the Content.

In connection with your use of the Saidwell Platform or Services, we may send you service announcements, administrative messages, and other information. You may opt out of some of those communications.

Prohibited uses

You may use the Saidwell Platform and Services only for lawful purposes and in accordance with these Terms.

You agree not to use the Saidwell Platform or Services:

• In any way that violates any applicable federal, state, local or international law or regulation, including, without limitation, laws regarding the export of data or software to and from the United States or other countries.

• To send, knowingly receive, upload, download, use or re-use any material which does not comply with these Terms.

• To transmit, or procure the sending of, any advertising or promotional material, including any “junk mail,” “chain letter” or “spam” or any other similar solicitation.

• To impersonate or attempt to impersonate Saidwell, a Saidwell employee, or any other person or entity, including, without limitation, by using e-mail addresses associated with any of the foregoing.

• To engage in any other conduct that restricts or inhibits anyone’s use or enjoyment of the Saidwell Platform or Services, or which, as determined by us, may harm Saidwell, users of the Saidwell Platform, or users of the Services, or expose them to liability.

Additionally, you agree not to:

• Use the Saidwell Platform or Services in any manner that could disable, overburden, damage, or impair the Platform or interfere with any other party’s use of the Platform or Services, including their ability to engage in real-time activities through the Platform.

• Use any robot, spider, or other automatic device, process, or means to access the Saidwell Platform or Services for any purpose, including monitoring or copying any of the material on the Platform.

• Use any manual process to monitor or copy any of the material on the Saidwell Platform or for any other unauthorized purpose without our prior written consent.

• Use any device, software, or routine that interferes with the proper working of the Saidwell Platform or Services.

• Introduce any viruses, trojan horses, worms, logic bombs, or other material which is malicious or technologically harmful.

• Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Saidwell Platform, the server on which the Platform is stored, or any server, computer, or database connected to the Platform.

• Attack the Saidwell Platform via a denial-of-service attack or a distributed denial-of-service attack.

• Otherwise attempt to interfere with the proper working of the Saidwell Platform or Services.

If you encounter Content or a user that you believe violates the above policies, please report it to us by emailing us at support@saidwell.com.

Access, use, and management of the Platform / accounts

To access certain parts of the Saidwell Platform or Services, you may be required to provide personal information such as your name, email, and telephone number. You warrant that all information provided is accurate and truthful, and you authorize Saidwell to use any means necessary to verify its accuracy in accordance with applicable law. Providing false or inaccurate information may terminate your access to the Saidwell Platform or Services, in whole or in part.

Some functionalities require secure account credentials, such as a username, password, or PIN. You are solely responsible for the confidentiality of your account credentials, and you agree that you will not share them with others or allow unauthorized access to the Saidwell Platform or Services. You must provide immediate written notification to Saidwell if you suspect or experience any unauthorized access to or security incident concerning your account.

Although it is not our intention to do so, we reserve the right, in our sole discretion, to delete or remove any information you provide on or through the Saidwell Platform from the Platform and to restrict, suspend, or terminate your access to all or part of the Platform or Services, with or without cause, including, without limitation, our good-faith belief that you have violated these Terms, without prior notice or liability.

Saidwell may, but is not obligated to, monitor or review any areas on the Saidwell Platform where you transmit or provide information, including areas where our products and Services are available. To the maximum extent permitted by law, Saidwell will have no liability related to your information arising under the laws of copyright, libel, privacy, obscenity, or otherwise, or for losses incurred due to your failure to maintain the confidentiality of your account credentials. Saidwell also disclaims all liability with respect to the misuse, loss, modification, or unavailability of any of your information.

Course description

The Course consists of video instruction organized into multiple modules covering communication skills, conflict resolution, and related topics, along with supplemental materials such as workbooks, exercises, and discussion guides.

License grant and term of access

Limited License. Upon purchase, Company grants you a limited, non-exclusive, non-transferable, revocable license to access and stream the Course content solely for your personal, non-commercial, educational use. You are purchasing access for one (1) person only. Your access credentials may not be shared with, transferred to, or used by any other individual, whether or not for compensation.

Twelve-Month Access Period. Your license and access to the Course is valid for a period of a minimum of twelve (12) months, three hundred sixty-five (365) days from the date of purchase (the “Access Period”). At the conclusion of the Access Period, your access to the Course, including all modules, videos, downloadable materials, and any associated community or bonus content, may expire and terminate without further notice. Company is under no obligation to extend, renew, or reinstate access after expiration.

No Guarantee of Continued Availability. Company reserves the right to modify, update, remove, or discontinue any portion of the Course content at any time, including during the Access Period, without liability to you.

No Resale or Sharing. You may not share, resell, sublicense, rent, lease, distribute, or transfer your access credentials or any Course content to any third party. Company reserves the right to immediately limit, suspend, or terminate your access, without refund, if it determines or reasonably suspects that this provision has been violated, including based on simultaneous logins or other indicators of shared use.

Payment, refunds, and disputes

Payment. All fees are due in full at the time of purchase unless otherwise stated at checkout. You represent and warrant that you are authorized to use the payment method provided and that the billing information you supply is accurate and complete.

Payment Processing by Affiliate. Payments for Courses and other Services may be collected and processed by Civility LLC (“Civility”), an affiliate of Saidwell, acting solely as Saidwell’s limited agent for the purpose of accepting payment on Saidwell’s behalf. As a result, your payment card statement, receipt, or order confirmation may identify Civility as the merchant. Saidwell remains the provider and licensor of the Saidwell Platform, Services, and Courses, and your purchase is a transaction with Saidwell under these Terms. Payment made to Civility for a Saidwell purchase is treated as payment made to Saidwell, and Saidwell’s obligations to you are not affected by Civility’s role as payment agent. Civility’s processing of your payment does not create a relationship between you and Civility. Questions about charges, refunds, or billing should be directed to Saidwell at support@saidwell.com. Saidwell may change its payment processing arrangements at any time without notice.

All Sales Final. Except as expressly set forth below, all purchases of the Course are final. Company does not offer refunds, credits, exchanges, or cancellations for any reason, including but not limited to: change of mind, failure to complete the Course, dissatisfaction with the content, or failure to achieve any particular outcome or result. By completing your purchase, you acknowledge that you have reviewed the Course description and expressly waive any right to a refund except as stated below.

Limited Exception, Access or Delivery Failure. If, due to a verified technical failure on Company’s platform, you are unable to gain access to the Course you purchased, you must notify Company at support@saidwell.com within seven (7) calendar days of the date of purchase. Company will investigate and, at its sole discretion, either resolve the access issue or issue a refund limited to the amount paid. This is your sole and exclusive remedy for any access-related issue.

Payment Disputes and Chargebacks. You agree to contact Company directly at support@saidwell.com to resolve any billing concern before initiating a chargeback, dispute, or reversal with your bank or card issuer. Initiating a payment dispute for a charge you authorized, rather than contacting Company first, constitutes a material breach of these Terms. In the event of a chargeback or payment dispute on a valid, authorized charge, Company reserves the right to: (a) immediately suspend or permanently revoke your access to the Course and any related content; (b) provide records related to your purchase and use of the Course, including but not limited to order confirmation, IP address, access and login timestamps, and content-completion data, to its payment processor and/or card issuer as evidence in the dispute process; and (c) pursue collection of any amounts owed, including associated fees, to the fullest extent permitted by law.

Records Retention. Company retains records of account creation, purchase, access, and usage activity for each Customer, which may be used to verify delivery of the Course and to respond to payment disputes.

Comments and feedback

If, at our request, you send certain specific submissions or, without a request from us, you send creative ideas, suggestions, proposals, plans, or other materials, whether online, by email, by postal mail, or otherwise, collectively, “Comments,” you agree that we may, at any time, without restriction, edit, copy, publish, distribute, translate, and otherwise use in any medium any Comments that you forward to us. We are and shall be under no obligation: (1) to maintain any Comments in confidence; (2) to pay compensation for any Comments; or (3) to respond to any Comments.

We may, but have no obligation to, monitor, edit, or remove Content or Comments that we determine in our sole discretion are unlawful, offensive, threatening, libelous, defamatory, obscene, or otherwise objectionable, or violate any party’s intellectual property rights or these Terms. You agree that your Comments will not violate any right of any third party, including copyright, trademark, privacy, personality, or other personal or proprietary right. You further agree that your Comments will not contain libelous or otherwise unlawful, abusive, or obscene material, or contain any computer virus or other malware that could in any way affect the operation of the Saidwell Platform or any related website or service.

You may not use a false e-mail address, pretend to be someone other than yourself, or otherwise mislead us or third parties as to the origin of any Comments. You are solely responsible for any Comments you make and their accuracy. We take no responsibility and assume no liability for any Comments posted by you or any third party.

Trademarks

Saidwell, or third parties from whom we have permission, own the trademarks or service marks that are used on the Saidwell Platform or in connection with the Services. All rights are reserved. These and other graphics, logos, service marks, trademarks, and trade dress of Saidwell and its licensors may not be used without prior written consent of Saidwell or its licensor, as the case may be. Without limiting the foregoing, our trademarks or trade dress may not be used in connection with any product or service that is not ours, in any manner that is likely to cause confusion among users, or in any manner that disparages or discredits us.

Proprietary rights

Your use of the Saidwell Platform and Services confirms your acknowledgment that the Platform and Services contain certain content, such as text, graphics, photographs, video, audio, code, and other data or information relating to any subject, collectively, “Content,” that is protected by copyrights, trademarks, trade secrets, or other proprietary rights, and that these rights are valid and protected in all forms, media, and technologies existing now or hereinafter developed. All Content is or may be copyrighted as a collective work under the U.S. copyright laws, and Saidwell owns a copyright in the selection, coordination, arrangement, and enhancement of such Content on the Saidwell Platform. You may not modify, remove, delete, augment, add to, publish, transmit, participate in the transfer or sale of, create derivative works from, or in any way exploit any such Content, in whole or in part.

Without limiting the foregoing, you may not copy, reproduce, distribute, publicly display, create derivative works from, or otherwise exploit the Content beyond the personal use permitted by these Terms, including creating resource guides, marketing materials, or other works that reference Saidwell, Jefferson Fisher, or any Course, without Saidwell’s prior written permission.

If no specific restrictions are displayed, you may make copies of select portions of the Content, provided that the copies are made only for your personal use and that you maintain any notices contained in the Content, such as all copyright notices, trademark legends, or other proprietary-rights notices. Except as provided in the preceding sentence or as permitted by the fair-use privilege under the U.S. copyright laws, you may not upload, post, reproduce, or distribute in any way Content protected by copyright or other proprietary right without obtaining permission of the owner of the copyright or other property right.

No professional advice

Not Legal Advice. The content does not constitute legal advice and should not be relied upon as a substitute for consultation with a licensed attorney regarding your specific circumstances. General Educational Purpose. All content made available through the Saidwell Platform, Services, and Courses is provided for general informational and educational purposes only. Your particular facts and circumstances will differ from the examples discussed, and outcomes are not guaranteed.

No guarantee of results

Saidwell makes no representations or warranties regarding specific results, outcomes, or improvements in your communication, relationships, legal matters, or personal circumstances as a result of using the Saidwell Platform or Services, or completing any Course. Individual results will vary.

Modifying and terminating the Platform

We are constantly changing and improving the Saidwell Platform. We may add or remove functionalities or features, and we may suspend or stop a Service altogether. You can stop using the Saidwell Platform or Services at any time. We may also stop providing Services to you, or add or create new limits to the Saidwell Platform or Services, at any time.

Links from the Platform

If the Saidwell Platform contains links to other sites and resources provided by third parties, these links are provided for your convenience only and are not intended and should not be construed as any endorsement or approval of, association with, or control over any such organization or site or the contents thereof. We have no control over the contents of those sites or resources, accept no responsibility for them or for any loss or damage that may arise from your use of them, and disclaim all warranty and liability as to the accuracy, completeness, suitability, or utility thereof. If you decide to access any of the third-party websites linked to the Saidwell Platform, you do so entirely at your own risk and subject to the terms and conditions of use for such websites.

Disclaimer of warranties

THE SAIDWELL PLATFORM, SERVICES, AND ALL CONTENT ARE PROVIDED TO YOU “AS IS” AND ON AN “AS AVAILABLE” BASIS AND WITH ALL FAULTS AND DEFECTS WITHOUT WARRANTY OF ANY KIND.

TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, WE EXPRESSLY DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, WITH RESPECT TO THE SAIDWELL PLATFORM, SERVICES, AND CONTENT, INCLUDING ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND WARRANTIES THAT MAY ARISE OUT OF COURSE OF DEALING, COURSE OF PERFORMANCE, USAGE, OR TRADE PRACTICE. WITHOUT LIMITATION TO THE FOREGOING, WE PROVIDE NO WARRANTY OR UNDERTAKING, AND MAKE NO REPRESENTATION OF ANY KIND THAT THE SAIDWELL PLATFORM OR SERVICES WILL MEET YOUR REQUIREMENTS, ACHIEVE ANY INTENDED RESULTS, BE COMPATIBLE, OR WORK WITH ANY OTHER SOFTWARE, APPLICATIONS, SYSTEMS, OR SERVICES, OPERATE WITHOUT INTERRUPTION, MEET ANY PERFORMANCE OR RELIABILITY STANDARDS, OR BE ERROR-FREE, OR THAT ANY ERRORS OR DEFECTS CAN OR WILL BE CORRECTED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL SAIDWELL, JEFFERSON FISHER, OR ANY OF THE COMPANY PARTIES, OR ANY OF OUR SERVICE PROVIDERS, HAVE ANY LIABILITY ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SAIDWELL PLATFORM OR SERVICES, INCLUDING FOR PERSONAL INJURY, PROPERTY DAMAGE, LOST PROFITS, COST OF SUBSTITUTE GOODS OR SERVICES, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, COMPUTER FAILURE OR MALFUNCTION, OR ANY OTHER CONSEQUENTIAL, INCIDENTAL, INDIRECT, EXEMPLARY, SPECIAL, OR PUNITIVE DAMAGES. THE FOREGOING LIMITATIONS WILL APPLY WHETHER SUCH DAMAGES ARISE OUT OF BREACH OF CONTRACT, TORT, INCLUDING NEGLIGENCE, OR OTHERWISE, AND REGARDLESS OF WHETHER SUCH DAMAGES WERE FORESEEABLE OR WE WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. Cap on Liability. To the maximum extent permitted by applicable law, the total aggregate liability of Saidwell, Jefferson Fisher, Saidwell LLC, and their respective officers, employees, contractors, and agents, collectively, the “Company Parties,” arising out of or relating to your use of or inability to use the Saidwell Platform, Services, or any applicable Course shall not exceed the total amount actually paid by you to Saidwell for the Platform, Services, or applicable Course giving rise to the claim.

Exceptions. Nothing in these Terms is intended to limit liability in circumstances where such limitation is prohibited by applicable law.

Indemnification

You agree to indemnify, defend, and hold harmless Saidwell and the Company Parties from and against any and all losses, damages, liabilities, deficiencies, claims, actions, judgments, settlements, interest, awards, penalties, fines, costs, or expenses of whatever kind, including attorneys’ fees, arising from or relating to your use or misuse of the Saidwell Platform or Services, your Comments, or your violation of these Terms.

Governing law and dispute resolution

Governing Law. These Terms evidence a transaction in interstate commerce, and the Federal Arbitration Act (9 U.S.C. §§ 1–16) governs the interpretation and enforcement of the arbitration provisions below. Except as set forth below, these Terms, the Saidwell Platform, and the Services shall otherwise be governed by the laws of the State of Tennessee, without regard to its conflict-of-laws principles.

Binding arbitration and class action waiver

IMPORTANT: BINDING ARBITRATION AND CLASS ACTION WAIVER PROVISIONS

PLEASE READ THIS SECTION CAREFULLY AS IT AFFECTS YOUR RIGHTS. ANY DISPUTE OR CLAIM UNDER THESE TERMS OF USE OR WITH RESPECT TO THE WEBSITE WILL BE SETTLED BY BINDING ARBITRATION OR IN SMALL CLAIMS COURT (TO THE EXTENT THE CLAIM QUALIFIES) AND WILL TAKE PLACE ON AN INDIVIDUAL BASIS ONLY; YOU AND COMPANY AGREE THAT CLASS, CONSOLIDATED (EXCEPT IN THE LIMITED CIRCUMSTANCES DESCRIBED BELOW), OR REPRESENTATIVE ARBITRATIONS AND CIVIL ACTIONS ARE NOT PERMITTED, AND EACH PARTY WAIVES ANY RIGHT TO BRING OR PARTICIPATE IN SUCH AN ACTION.

The parties understand that, absent this binding arbitration provision, they would have the right to sue in court and have a jury trial. The parties further understand that, in some instances, the costs of arbitration may exceed those of litigation and that the right to discovery may be more limited in arbitration than in court.

Informal Dispute Resolution. Before initiating arbitration or other legal proceedings, you agree to provide Saidwell an opportunity to attempt to resolve the dispute informally in accordance with the Dispute Notice procedure below.

Arbitration Agreement. You and Saidwell agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Saidwell Platform, the Services, or your use of any Course shall be resolved by binding, individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, rather than in court, except that either party may bring an individual claim in small-claims court. You and Saidwell each waive any right to a jury trial and to participate in a class, collective, or representative action.

Venue if Arbitration Does Not Apply. If this arbitration agreement is found unenforceable as to a given dispute, that dispute shall be brought in the state or federal courts located in Williamson County, Tennessee, and you consent to personal jurisdiction and venue there.

No consolidation

Any claim or dispute shall be litigated or arbitrated, as the case may be, on an individual basis and shall not be consolidated with any claim or dispute of any other party, whether through class-action proceedings, class-arbitration proceedings, or otherwise.

Limitation on time to file claims

ANY CAUSE OF ACTION YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS, OUR PRIVACY POLICY, THE SAIDWELL PLATFORM, OR THE SERVICES MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES, OTHERWISE, SUCH CAUSE OF ACTION IS PERMANENTLY BARRED.

Waiver and severability

If you do not comply with these Terms, and we do not take action right away, this does not mean that we are giving up any rights that we may have, such as taking action in the future. If it turns out that a particular term is not enforceable, this will not affect any other terms.

Assignment

Your right to use the Saidwell Platform and Services and any licenses granted under these Terms are not assignable or transferable, including by operation of law or otherwise. Any attempted assignment or transfer in violation of the foregoing is null and void.

Entire agreement

These Terms, together with any Terms and Conditions of Purchase and the Saidwell Privacy Policy, constitute the sole and entire agreement between you and Saidwell regarding the Saidwell Platform and Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral. Purchases of Courses remain governed by the applicable Terms and Conditions of Purchase.

Changes to these Terms

We may modify these Terms or any additional terms that apply to the Saidwell Platform, Services, or products offered through the Platform to, for example, reflect changes to the law or changes to the Platform, Services, or products. You should look at the Terms regularly. We will post notice of modifications to these Terms on this page by updating the “Last Updated” date at the top of this webpage. Changes will not apply retroactively and will become effective as soon as the updated “Last Updated” date is posted. If you do not agree to the modified terms for a Service, you should discontinue your use of that Service.
